User Agreement

Parties

This User Agreement (“Agreement”) is between you (“you” or “User”) and the operator of TickerLayer (“we,” “us,” or “TickerLayer”) regarding your use of the TickerLayer Services. It supplements the Terms of Use; where the two differ on fees or payment, this Agreement controls.

The Services

The Services include access to APIs, WebSocket streams, dashboards, documentation, public symbol pages, OAuth connectors, the MCP server, pay-per-call endpoints, and related materials we make available under the TickerLayer name.

TickerLayer provides derived, indicative, non-exchange-sourced market data for informational and technical use only. We do not provide investment advice, execute trades, manage funds, or facilitate financial transactions. Unless expressly stated, we are not affiliated with any exchange, issuer, broker, trading venue, or listed company.

Your obligations

You will use the Services only in compliance with applicable law, our published policies (including the Terms of Use, Privacy Policy, and Cookie Policy), and any technical or operational limits communicated through the Services.

You are solely responsible for your use of data from the Services, including verification and any redistribution. Redistribution is prohibited unless expressly authorized in writing. Requests made by clients, connectors, or agents you have authorized are your requests.

Fees, payment, and renewal

Every account starts on a free tier with a monthly request allowance. Paid plans, their allowances, the data feeds they include, and their prices are shown on the pricing page and at checkout. Prices are stated in U.S. dollars and exclude any taxes that apply to you; taxes will be added where we are required to collect them.

Card payments are processed by our payment processor through hosted checkout as a recurring subscription. The subscription renews automatically at the end of each billing period, at the then-current price for your plan, until you cancel. We may send a reminder before a renewal, but it is your responsibility to cancel before the renewal date if you do not wish to continue.

Cryptocurrency payments prepay a fixed period through our cryptocurrency payment processor. They do not renew automatically from your wallet. We will remind you before the period ends; to continue, purchase the next period before or after expiry. Access ends when the paid period ends.

Usage above your plan’s allowance is not billed automatically: requests beyond the allowance may be rejected or throttled until the next period or an upgrade. Where an endpoint is offered on a pay-per-call basis, each payment covers exactly one request as described in the Terms of Use.

If a renewal payment fails or a payment is reversed or disputed, we may suspend paid features until the balance is settled, and we may treat an unresolved chargeback as a breach of this Agreement.

Plan changes and cancellation

You may cancel a card subscription at any time from your billing page. Cancellation stops future renewals; your paid features remain available until the end of the period you have already paid for, after which the account returns to the free tier.

Upgrades, downgrades, and changes to the data feeds included in a plan take effect as described at checkout. Where a change is applied part-way through a period, any proration or credit is the one displayed to you before you confirm the change; no other adjustment is implied.

We may retire or change plans. If a change materially reduces what your current plan includes, we will give reasonable notice and you may cancel before it takes effect.

Confidentiality

Either party may receive non-public information from the other. The recipient will use reasonable care to protect such information and use it only for the purpose of the Services, subject to standard exceptions (public domain, rightfully received from a third party, independently developed, etc.).

Refund Policy

Unless otherwise required by applicable law, all fees, subscription charges, usage-based charges, pay-per-call payments, setup fees, and other payments are non-refundable once paid. Cancelling a subscription does not refund the current period.

TickerLayer may, at its sole discretion, issue a partial or full refund, service credit, account credit, or other remedy if we determine that a material service issue, prolonged outage, billing error, or other platform-side problem prevented you from reasonably accessing or using the Services. Any such refund, credit, or remedy is not guaranteed, does not create an ongoing obligation, and does not waive any of our rights under this Agreement.

Refund requests must be submitted in writing to our support or billing contact with enough information for us to review the request, including the affected account, relevant dates, invoices or transaction references, and a description of the issue. We may deny refund requests where the issue results from customer-side configuration, integration errors, misuse, violation of this Agreement, third-party systems, market conditions, data limitations, scheduled maintenance, unsupported use cases, or circumstances outside our reasonable control.

Because market data services involve infrastructure, licensing, connectivity, and usage-related costs, we do not provide refunds solely because a customer no longer needs the Services, failed to cancel in time, did not use the Services, expected different data behavior, or used the Services for an unsupported commercial, redistribution, trading, or compliance purpose.

Cryptocurrency and on-chain payments cannot be reversed by us. Where a remedy is due under this policy for such a payment, it will normally be provided as service or account credit.

Nothing in this Refund Policy limits any mandatory consumer or statutory rights that cannot be waived under applicable law.

Term and termination

This Agreement continues until terminated. You may stop using the Services at any time and may request deletion of your account from your account settings or by email. We may suspend or terminate access for breach, risk, non-payment, or legal necessity. Provisions that by their nature should survive will survive termination.

Miscellaneous

This Agreement, together with the Terms of Use and other policies referenced herein, is the entire agreement regarding its subject matter.
